COVENANT AND UNDERTAKING OF MEMORIAL HOSPITAL-WEST VOLUSIA, INC., and MEMORIAL HEALTH SYSTEMS, INC.

IN COMPLIANCE AND FULL AGREEMENT WITH the terms, conditions and requirements of that Order entered by the Honorable Edwin P.B. Sanders on July __, 1999, and as a condition precedent to the release of funds to Memorial Hospital-West Volusia, Inc., ("MHWV") as set forth in paragraph 1 c of said Order, the undersigned not-for profit Florida corporations do hereby jointly and severally covenant and agree to re-deposit all finds withdrawn from the Authority's NationsFunds account number [number] and paid to MHWV forthwith upon any subsequent order of Court directing the undersigned to do so, and in the event of a default or failure to re-deposit all such funds within the time specified in any such subsequent order, the undersigned agree to pay reasonable attorneys' fees and costs at all levels of litigation, including appeals, to the West Volusia Hospital Authority resulting from or arising out of the default and subsequent enforcement and collection actions. The undersigned recognize and acknowledge that they are subject to the jurisdiction of this Court, its powers of contempt and powers to enforce its orders, and that judgment may be entered against the undersigned for all sums withdrawn from West Volusia Hospital Authority number [number] and paid to MHWV if any default in the re-payment of said funds into said account does not occur within the time specified in any such subsequent order of this court.
